Terms of Service

To use ContextQ, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, including your API keys.

You agree to:

• Provide truthful and current registration information.
• Keep your account credentials and API keys secure and confidential.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account, including actions performed by AI agents using your API keys.

We reserve the right to suspend or terminate accounts that violate these terms or that have been inactive for more than 12 consecutive months.

You agree not to use the Service to:

• Store, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Violate any applicable local, national, or international law or regulation.
• Infringe on the intellectual property rights of any third party.
• Attempt to gain unauthorized access to other users' accounts, data, or teams.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Use the Service to conduct automated scraping, data harvesting, or denial-of-service attacks.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell or redistribute access to the Service without prior written consent from Henia.

We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating your access without notice.

ContextQ allows you to create teams and invite members. As a team owner, you are responsible for managing team membership and controlling access to your team's context data. Context entries created within a team are accessible to all members of that team according to the permissions you configure.

When you remove a team member, their access to the team's context data is revoked immediately. However, you acknowledge that data previously accessed by that member during their tenure may have been cached or used by their AI agents during active sessions.

ContextQ offers a Free tier and a paid Pro plan at $19 per month per team. All payments are processed through Lemon Squeezy, our authorized payment processor.

The Pro plan includes a 14-day free trial. During the trial period, you have full access to Pro features without being charged. If you do not cancel before the trial ends, your payment method will be charged automatically at the start of the next billing cycle.

• Billing occurs monthly on the anniversary of your subscription start date.
• All fees are quoted and charged in United States Dollars (USD).
• You are responsible for any taxes applicable in your jurisdiction.
• Refunds are handled on a case-by-case basis. Contact us within 7 days of a charge if you believe it was made in error.
• We reserve the right to change pricing with 30 days advance notice. Price changes do not apply retroactively to the current billing period.

If payment fails, we will notify you and provide a 7-day grace period to update your payment information. After this period, your account may be downgraded to the Free tier.

You retain full ownership of all content and data you store in ContextQ. By using the Service, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing and improving the Service.

We do not access, review, or use your stored context data for training machine learning models, advertising, or any purpose other than delivering the Service to you.

You are solely responsible for the content stored in your account and for ensuring that it does not violate any applicable laws or third-party rights.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our control.

We will make reasonable efforts to notify you of planned maintenance in advance. We are not liable for any loss or damage resulting from Service downtime or unavailability.

You may terminate your account at any time by contacting us or using the account management features in the Service. Upon termination:

• Your access to the Service will cease immediately.
• We will retain your data for 30 days following termination to allow for account recovery. After this period, your data will be permanently deleted.
• No refunds are issued for partial billing periods unless required by applicable law.

We may terminate or suspend your account immediately, without prior notice, if you breach these terms, engage in fraudulent activity, or if we are required to do so by law.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that the results obtained from the use of the Service will be accurate or reliable.

ContextQ is a tool that stores and retrieves data as directed by you and your AI agents. We make no representations about the accuracy, completeness, or usefulness of any content stored in or retrieved from the Service.

To the maximum extent permitted by applicable law, Henia and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

These Terms of Service are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions.

Any disputes arising from or relating to these terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to the competent courts of Ho Chi Minh City, Vietnam for resolution.

For users outside of Vietnam, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
